How I work

  • Confidential from day oneNo business names in public. Details are shared only after an NDA.
  • Honest about the numbersIf it isn't in the accounts, it isn't part of the price. Better you hear it from me than from a buyer.
  • Red flags, flagged earlyLease, staffing, owner dependence: I'd rather we deal with it now than lose a deal over it later.

About Ciara

A broker who's spent a career on the commercial side of the table.

I've spent over 18 years in sales leadership, business development and strategic growth, including senior roles at global technology companies, working with businesses across lots of different industries. I joined Transworld Business Advisors Ireland in 2023 and I'm based in Dublin.

That background shapes how I work. I think like a buyer, so I'll tell you what a buyer will see in your business, good and bad, before they do. And if you're buying, I'll make sure you know which questions to ask before you're too far in.

The businesses I know best:

  • B2B services
  • Recurring-revenue businesses
  • Tech-enabled businesses
  • Owner-managed businesses
  • Salons
  • Gyms
  • Studios

For sellers

Why buyers walk away

Most deals don't fall apart over price. They fall apart because a buyer finds something they weren't expecting. Here are the three I see most often, and every one of them can be fixed before you go to market.

Book a confidential chat

The cash isn't in the accounts

If takings don't show up in your accounts, a buyer can't pay for them and a bank won't lend against them. What you can't prove, you can't sell.

Get your books clean and consistent well before you list.

The business IS the owner

If every client relationship, every key decision and half the work runs through you, a buyer is really buying a job, and a risky one at that.

Build a team and systems that keep things running without you.

There's no proper lease

No lease, a short one, or a handshake with the landlord? A buyer has no security that the business can stay where it is, and neither does their lender.

Talk to your landlord early and get the lease sorted.

For buyers

Go in with your eyes open

Buying a business is one of the biggest decisions you'll make. Ask the awkward questions early. A good seller will have the answers, and a good broker will help you get them.

Questions to ask

  • Do the accounts reflect what the business really earns?
  • What does the owner do day to day, and who does it after they leave?
  • What are the lease terms, how long is left, and can it be assigned to me?
  • Are key staff staying, and are their contracts in order?
  • Where do customers come from, and how dependent is it on a few of them?
  • Why is the owner selling, and why now?
  • What handover and training will the seller provide?

Red flags

  • "There's more cash than the accounts show." If you can't see it, don't pay for it.
  • The owner is the brand, the main earner and the only one customers deal with.
  • No lease, a very short lease, or one that can't be transferred.
  • Reluctance to share figures or documents after an NDA is signed.
  • Takings that swing unexpectedly with no clear explanation.
  • Pressure to decide fast before you've done your homework.

How it works

From first chat to completion

A clear, confidential process, so both sides know where they stand at every stage.

  1. Valuation

We look at the business properly: the accounts, the lease, the team and the owner's role. Then you get a realistic view of what it's worth to a buyer.

  2. Confidential marketing

The business is marketed by sector and region only. No names, no photos that give it away, nothing that unsettles staff or customers.

  3. NDA

Interested buyers sign a non-disclosure agreement before they learn which business it is or see any detail.

  4. CIM

Buyers who've signed receive the Confidential Information Memorandum, a full picture of the business, so the right questions come early.

  5. Offer

Offers are reviewed, negotiated and agreed, with terms that work for both buyer and seller.

  6. Completion

Due diligence, legals and handover are coordinated through to the day the keys change hands.
